AAA Smart Business – Switch and Save

A3 Smart Home LP ("A3SH", "we", "our" or "us") is providing the following offer ("Offer") on A3SH (including Safeguard) security and fire monitoring services ("Services"), subject to these Terms and Conditions ("Terms"). By participating in the Offer, participants ("you") agree to the Terms as set forth below. We have the right to extend, terminate, suspend, or modify any part of or all of the Offer and these Terms at any time. These Terms apply to the Offer in its entirety and duration. Once you sign up for Services, you will be subject to the limitations, terms and conditions of the relevant subscription agreements, policies and additional terms and conditions.

TIMING AND GEOGRAPHICAL RESTRICTIONS: The Offer will be available until December 31, 2020 and only within the A3 Smart Home service area.

THE OFFER: The Offer applies only to customers who currently subscribe to security and fire monitoring services that are similar or comparable, in A3SH’s sole discretion, to the Services, and the Offer does not apply to other services or features offered by A3SH. If your current security service includes additional features that are not included in the Services, you waive your right to, and may not demand, these additional features as part of this Offer. If you have received a copy of these Terms from A3SH, you have been selected to receive the following Offer from A3SH:

• For the first four (4) months of your new contract for the Services, you will berequired to pay only 50% of what you pay each month to your existing securityservice provider ("Current Monthly Payment") for the Services.

• For the remainder of your Services contract, your monthly fees for the Services willreflect at least a discount of at least 10% off your Current Monthly Payment.

For example, if your Current Monthly Payment for security and fire monitoring services with your existing provider is $100/month, you will pay $50/month for the Services for the first four (4) months, after which you will receive a $10 discount on the Services each month thereafter.

This Offer is subject to your submission of a copy of your current bill and/or your contract with your current service provider, so that we may confirm your current monthly payment amount. In the event your existing security service provider does not bill on a monthly cycle, the offer will be prorated and determined in monthly increments, with the included discount, in accordance with these Terms. The Offer is void if A3SH does not receive a copy of your contract and/or bill with your existing security service provider. You agree to provide A3SH with accurate and truthful information, and understand that the Offer is VOID and refundable if A3SH learns that any information that you provide to it was false or misleading.We will retain a copy of documents you submit for administrative and recordkeeping purposes. If you have any sensitive information on such documents (such as credit card or other payment information), please redact them prior to submission to us.

LIMITATIONS: The Offer is onlyavailable to purchasers of new subscriptions. The Offer shall only last for the period of time stated in these Terms, and may not be extended or modified. The discount will begin on the date you sign the contract with A3SH, and will end if and when yourcontract is terminated, either by you or by A3SH. The Offer may not be combined with any other offers.A3SH employees, household members of A3SH employees and licensed insurance agents, including independent agents, may not take advantage of the Offer.All other fees and taxes, including installation fees, apply. Limit one (1) Offer per customer. The Offer is non-transferrable and has no cash redemption or substitution except at A3SH’s sole discretion.

CHOICE OF LAW: These Terms shall be governed by, and interpreted in accordance with, the laws of the State of California, without regard to that state’s conflict of law provisions.

PRIVACY: Upon contracting with A3SH, you agree to our privacy policy stated on our website at https://calstate.aaa.com/privacy-policy, and its terms regarding our collection and usage of your personal information.

INDEMNIFICATION: You agree to, and do, release, indemnify, defend, and hold harmless A3SH and all of its parent companies, subsidiaries, affiliates, and each of their respective agents, representatives, officers, directors, and employees from and against any and all lawsuits, judgements, losses, damages, claims, actions, costs, and expenses (including, without limitation, reasonable attorneys’ fees) and any liability of any kind resulting from, arising from, related to or in connection with this Offer and your participation in it.

NO LIABILITY: A3SH, its parent companies, subsidiaries, affiliates, suppliers, including any vendors providing services in connection with this Offer, and all of their respective employees, agents, directors, officers (collectively, the "A3SH Affiliates") are not responsible for, and participants release each from, any perceived or actual failures of any kind (whether alleged to be have been caused by computer, technical, or human error) which may either limit the participant’s ability to receive or participate in this Offer, or A3SH’s ability to execute this Offer in the manner intended.

OTHER TERMS: A3SH reserves the right to cancel or modify the Offer for any reason, including but not limited to, if fraud, misconduct or technical failures destroy the integrity of the Offer, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Offer as determined by A3SH, in its sole discretion. A3SH reserves the right to disqualify or prohibit the participation of an individual or business if fraud or tampering is suspected, or if the individual or business fails to comply with any requirement of participation or with any provision in these Terms.
