BY PARTICIPATING IN THIS PROMOTION, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR (DEFINED BELOW) FROM YOU, A LIMITATION OF YOUR RIGHTS AND REMEDIES, BINDING ARBITRATION OF CLAIMS, WAIVER OF CLASS ACTION CLAIMS, AND WAIVER OF THE RIGHT TO TRIAL BY JURY.

These Official Rules apply to the A3 Smart Home Trade Show Promotion (the “Promotion”), sponsored by A3 Smart Home LP (“Sponsor”). The Promotion will be conducted at the Layton Home Show scheduled to take place at the Davis Conference Center (the “Show”), and consists of one (1) sweepstakes (“Sweepstakes”) and a separate spin-to-win prize wheel promotion (“Prize Wheel Game”). The Promotion is open only to registered attendees of the Show, who reside in California, Alaska, Arizona, Montana, Nevada, Utah, or Wyoming (“Territory”), and are at least eighteen (18) years of age as of the date of entry. Those who reside outside of the Territory are ineligible, even if attending the Show. Employees, officers, directors, representatives, and agents of Sponsor or any Sponsor parent, subsidiary, or affiliate (collectively “Sponsor Parties”), as well as any immediate family member or member of the same household (whether or not related) of any such person, are ineligible to participate in this Promotion. Those who do not abide by these Official Rules and all other instructions of Sponsor or its representatives may be disqualified.

• Sweepstakes: To enter the Sweepstakes, eligible attendees must visit Sponsor’s booth at the Show, complete an entry form (including providing name, email and mailing addresses, phone #, DOB, AAA membership status, and any other required information), and deposit the completed entry form where indicated by Sponsor’s representative. By entering, you are opting into receiving marketing emails from Sponsor and its partners. One (1) winner will be selected in a random drawing from among all eligible entries received within approx. five (5) business days following the conclusion of the Show. Limit one (1) entry per person. The one (1) confirmed winner will receive a prize consisting solely of two hundred and fifty dollars ($250) in Visa (or similar general-purpose) prepaid gift card(s) (the “Prize"). Odds of winning depend on # of eligible entries received. Potential winners may be notified by Sponsor via email or other contact information provided by participant and must respond as instructed within forty-eight (48) hours; otherwise, that person may be disqualified and an alternate winner may be selected (time permitting), even if the disqualified winner has been announced. Each potential winner may – if requested by Sponsor – be required to complete and return to Sponsor an affidavit/liability release, as well as taxpayer documentation, in the form provided by Sponsor (without revision) and in the time period set out in Sponsor’s instructions or prize may be forfeited, as determined by Sponsor in its sole discretion. Alternatively, Sponsor may automatically award the Prize to the selected winner via email or mail to the address provided on the winning entry form without prior notification. Sponsor has no liability for inability of an entrant to accept a Prize or failure of any Prize to reach winner due to incorrect contact information, delivery failure, or any kind email filtering. Winner gives permission for Sponsor to disclose his/her name, city/state, and prize info to third parties (incl. publication on a winners’ list).

• Prize Wheel Game: Each eligible participant who visits Sponsor’s display booth at the Show and follows the instructions of Sponsor’s representative to opt into receiving marketing emails from Sponsor and its partners will be – time permitting and while prizes remain available – provided one (1) chance to spin Sponsor’s prize wheel.If the prize wheel’s pointer lands on a space identifying a particular prize, the participant will be provided with that prize (while supplies list). Limit one (1) spin of the prize wheel per person and limit one (1) prize in the Prize Wheel Game per person total for the entire Show.Available prizes vary and will be as identified on the prize wheel or in accompanying materials at Sponsor’s Show booth. ARV of each prize-wheel prize varies, provided that all ARVs for prizes in the Prize Wheel Game will be equal to or less than $50.

All prize details not described in these Official Rules will be determined by Sponsor. Prize(s) are nontransferable and may not be redeemed for cash.Gift cards are subject to additional terms and conditions as specified thereon or in their accompanying materials.Winner(s) are solely responsible for any taxes/costs/fees/expenses associated with acceptance and use of any prize. Sponsor reserves the right to terminate, modify or suspend the Promotion (in whole or part) if any part of the Promotion becomes incapable of running as planned for any reason, incl. if there is any suspected or actual tampering with the entry process or Sponsor otherwise believes that the administration, security, or fairness of the Promotion has been compromised or if any part of the Show fails to occur as scheduled. EACH PARTICIPANT AGREES TO RELEASE AND HOLD SPONSOR PARTIES HARMLESS FROM AND AGAINST LIABILITY FOR INJURIES OR DAMAGES SUSTAINED IN CONNECTION WITH PARTICIPATING IN ANY PROMOTION- OR PRIZE-RELATED ACTIVITY. Promotion and any dispute related thereto will be governed by California law. Each participant agrees (to the extent permitted by applicable law) to settle all disputes only through binding individual arbitration, except Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in San Francisco, California, and any other court with jurisdiction over the parties. Arbitration proceedings will be conducted before a sole arbitrator under the Streamlined Arbitration Rules & Procedures of JAMS Inc., and, if an in-person hearing is required, it will take place in or near your hometown. Either party may, notwithstanding this provision, bring qualifying claims in small claims court. In no event will you seek or be entitled to rescission, injunctive or other equitable relief, provided that nothing herein will restrain a CA residents right (of any) to seek public injunctive relief as permitted by applicable law. Participants waive any right to bring or participate in a class, concerted, or consolidated action or arbitration.
